 Forming an LLC

Forming an LLC Sat, 01/23/10 10:31 AM (permalink)
Does anyone know if I should get my EIN before I form my LLC or does it matter? I have money for the business and need to open a bank account to seperate my money before life happens and it is gone.

    Oh My Have you talked with Professional help. If giving info here can be sued. Go talk to your Acct.
    Form the LLC an get a #
     
    Need an Acct they will save monies now than later. Might not be the right entity for you but talk to them.

      You will not be able to open a business acct without ALL of your corporate papers in hand....

        go to a trusted attorney- depending on what state you are in- the founding of corporations, LLC and DBA's can all be a little overwhelming. Our local community college actually has a Small Business Developement Center- and they were a really BIG HELP. Check out your local colleges and see if they also have this type of set up. The classes are free! and when I finally opened my own small business, my attorney was amazed at how knowledgeable I was.

            I let Legal Zoom do it all. They formed the LLC, handled the EIN and all. Less than $400.

              Actually the Univ. of Ga has a branch of the SBDA and they have helped me every step of the way. They told me that the paperwork really wasn't that difficult to do. Just having a little trouble in ordering my steps right now. Meeting with them again next Wed. and will get more help them. Just sitting here with money and wanted to put it somewhere. Geuss I'll just wait.

                I had to get an EIN before applying for the LLC. 

                The majority of Applications for Organizations ask for your EIN number.  Geting your EIN takes all but 5 minutes and you can do it online. In addition when you publish, most newspapers will ask for your EIN number on the publication request as well.  Your State may have a different stipulation, and it's best that you check with your State's Corporation Commission.

                Forming an LLC is simple and straightforward.  Pick your name, name a Statutory Agent (usually yourself), list any members/managers (usually yourself and your spouse, relative, investor etc.) state that it's Perpetual, list your address, and pay the fee. When you receive notice that it's approved - then publish.

                The legal profession is famous for making things sound far more complex than they really are, as well as throwing a bit of intimidation into the picture.  However, be advised that you tax filings will become more complicated and be aware of your reporting periods and the annual documentation you must submit to the Commission.

                You will also need to get your city's Business tax license (privileged not occupational) in addition to your State LLC license.

                As with most things in life, seek your own professional advice. This is just a tip.

                  If you form an LLC, you will/should receive your EIN after everything is accepted. If you form a Sole Proprietor you will get an EIN, but however if you then choose to form either LLC or INC you will actually get a brand new EIN.

                  These things you CAN do by yourself. You don't need to pay anyone any $$ to do this. All of your forms should be on your State website to print out and fax in or walk in.

                    Yeah, I changed my mind about  LLC at least to start. I will have insurance and I want to keep my opening costs as low as possible. Plus I already have so many things that have to be done floating around in my head that one more thing might put me over the edge.
